Schools and organizations are responsible for compliance with parental consent obligations under COPPA or applicable laws.

3. Account Registration

Users must provide accurate information and maintain the confidentiality of their login credentials. Customers are responsible for all activity occurring under their accounts and for ensuring proper authorization of their users.

4. License and Use Rights

CanopyLAB grants Customers a non-exclusive, non-transferable, revocable right to access and use the Services for their internal educational and community purposes during an active subscription. Users may not: • modify, copy, or reverse engineer the Services • scrape or extract platform data at scale • bypass access controls or security measures • impersonate others or misrepresent identities • upload malicious code or harmful content • violate law or infringe upon rights using the platform

5. AI Features

The Services include AI-generated text and recommendations. Users are responsible for reviewing all AI-outputs before relying on them. AI-features must not be used for harmful, illegal, or misleading purposes. AI-generated outputs may contain inaccuracies.

6. Customer Content

Customers retain ownership of all content they upload or create within the platform. Customers are responsible for ensuring that all uploaded content complies with applicable laws and does not infringe upon any third-party rights. CanopyLAB may remove content that violates these Terms or applicable law.

7. Platform Changes and Updates

CanopyLAB may update, modify, or improve the Services. Changes that materially impact functionality will be communicated when possible. CanopyLAB may suspend the Services temporarily for maintenance. Where feasible, notice of planned maintenance will be provided.

8. Fees and Subscriptions

Fees, billing cycles, and subscription terms are governed by the commercial terms agreed with the Customer at the time of purchase. Unless otherwise specified, subscriptions renew automatically for additional 12-month periods unless cancelled in accordance with the applicable commercial terms.

10. Availability and Support

CanopyLAB aims to provide reliable service but does not guarantee uninterrupted availability. Support is available via email, chat, and phone as provided on canopylab.com. Service levels may vary depending on subscription tier or separate agreements.

11. Intellectual Property

CanopyLAB retains all rights to its software, AI-systems, algorithms, designs, documentation, and platform features. Nothing in these Terms transfers ownership of the Services or related intellectual property to the Customer. Customer retains ownership of Customer-generated content and educational materials. Unless otherwise stated, AI-generated content belongs to the Customer.

12. Data Protection

Personal data processed within the Services is governed by the CanopyLAB Data Processing Agreement (DPA). Use of the Services constitutes acceptance of the DPA and acknowledgment of the Subprocessor List, available at canopylab.com/legal.

13. Confidentiality

Each party must protect confidential information obtained through its relationship with the other and may not disclose it except when required by law or necessary to perform the Services. Confidentiality obligations survive termination.

14. Termination

Customers may terminate at the end of a billing period according to applicable commercial terms. CanopyLAB may suspend or terminate access for material breach, security risks, unlawful activity, or failure to pay. Upon termination, Customers may export their content for 30 days. After that period, CanopyLAB will delete Customer data in accordance with the DPA.

15. Disclaimer of Warranties

The Services are provided “as is” and “as available.” CanopyLAB disclaims all warranties, whether express or implied, including fitness for a particular purpose and non-infringement. AI outputs may be incomplete or inaccurate.
